What’s the role?

The Legal Counsel, Chemicals & Products is part of the global Downstream legal team within Shell Legal providing timely, cost effective legal support, balancing risk and value, to Shell’s Chemicals & Products business (“C&P”) primarily in the Europe region, but also supporting global C&P projects and business activities as required.

The new C&P organisation was created in 2021 as part of the reshaping of the Shell group and is made up from the previously separate chemicals and manufacturing businesses in Shell. By combining the two organisations our new end- to-end C&P organisation is set up to deliver on our strategy of growing our chemicals business and adapting our refining footprint to include Energy and Chemicals Parks, working alongside our chemicals-only production sites. We do this so that we can can profitably become a leader in circularity and decarbonisation to help our customers, society and Shell succeed in the energy transition.

The role will involve, amongst other things, supporting the Energy and Chemicals Park and chemicals asset in the Netherlands. The Pernis Energy and Chemicals Park is one of Shell’s five Chemical and Energy Parks which are strategically located, optimizing existing infrastructure and systems to build effective and integrated platforms in processing less crude oil and using more recycled and renewable feedstocks, such as biomass, waste oils and plastic wasteThe Energy and Chemicals Parks will be producing lower-carbon fuels such as Hydrogen, bio-LNG, and sustainable aviation fuel; as well as products like bitumen and advanced lubricants which are “carbon stores”. These platforms support the low-carbon energy products and solutions customers need to achieve net-zero emissions and give Shell the flexibility to meet customer demands in different sectors like automotive, aviation or shipping.

Shell’s strategy is to grow the C&P business, extending further into performance chemicals that enable the energy transition and, as part of your role, you will be helping to support the business in the sale of these products to customers. Shell’schemicals will help society decarbonize and lower emissions – acting as the building blocks for components to build wind turbines and solar panels, save energy in home insulation, produce low temperature detergents, and find solutions for light-weighting transport.

More specifically, your key accountabilities include:
Legal support to the Energy & Chemicals Park (“ECP”) energy and chemicals production assets in the Netherlands including advising on major projects (e.g. biofuels, carbon capture, electrification), investigations, environmental, regulatory and administrative law issues, claims, stakeholder management and emergency response.

Drafting agreements, negotiating and providing legal advice to the C&P business in the region on contracting, operational, logistics and compliance issues for a number of chemicals product lines including long term, high value and complex product sales, swap agreements, feedstock purchase, pipeline transportation, storage and processing contracts.

Advising on joint venture/partnering issues in the region including review of projects and high value contracts from a shareholder perspective.

Supporting growth and sustainability projects in the region or globally and support for other Downstream or Group businesses from time to time as required by the Associate General Counsel C&P.

Helping to implement continuous improvement opportunities and share best practices and new ways of working with the global C&P legal community (including our Krakow and Kuala Lumpur legal support hubs) and with the C&P business.

Giving compliance and C&P specific legal/contracting training to encourage more business self-help and reduce legal risks in the business.

What we need from you

Language skills: fluent in Dutch and able to work effectively in English (spoken and written).

Prior experience of providing legal support for manufacturing or production assets preferred, in particular good understanding of and experience with (Netherlands) environmental and administrative law issues relevant to such assets.

Significant commercial legal experience including advising on, negotiating, drafting, and managing risk in high value, complex commercial contracts.

Some prior experience of supporting project development and/or acquisition & divestment transactions would be useful.

Experience of implementing continuous improvement projects and sharing new ways of working/best practices.

Good team player with a global mindset and ability to work virtually with business colleagues at all levels and other lawyers supporting C&P globally.

Strong analytical and problem-solving skills with the ability to find creative solutions to legal and commercial issues.

Excellent verbal and written communication skills.

Eager to develop deep understanding of the C&P business and the different product value chains/value drivers.

Willing to work in Shell Chemicals Europe BV’s office in Rotterdam and in Pernis Energy & Chemicals Park and chemicals production assets in the Netherlands as required for business support.
