This role will assist the Deputy Company Secretary, ensuring that Company Secretariat matters are run efficiently and smoothly, and that appropriate legal and statutory compliance is maintained for the Company and its subsidiaries at all times.

Main Accountabilities Include:
Maintaining the statutory registers of the Company and its subsidiaries (both within the UK and overseas) and effecting all Companies House electronic regulatory filings in respect of UK subsidiaries, ensuring compliance with the Companies Act 2006.

Manage the Company’s project insider lists and manage closed period notifications in accordance with the Market Abuse Regulation and related Company policy.

Assist with the production, preparation, verification and mailing of the annual report and accounts.

Supporting with all aspects of the preparation for and arrangement of the Company’s AGM.

Drafting quasi-legal documentation such as shareholder resolutions, board minutes, powers of attorney and other standard documentation routinely required by the Legal and Secretariat teams.

Assist with and help maintain the internal Secretariat & Legal departmental system records together with general administration matters.

Maintenance of the Group’s organisational chart.

Liaise with external service providers such as notary publics, legal firms and registered agents etc. on a global basis.

Involvement in ad-hoc Legal and Secretariat projects such as M&A transactions and corporate refinancing etc. as necessary.

Supporting the Deputy Company Secretary with minute taking, drafting and collating agendas and reports in preparation for Board and Committee meetings.

Managing compliance with the Company’s Share Dealing Code and submitting notifications to the FCA in respect of PDMR share dealing.

Disseminating RNS announcements to the London Stock Exchange.

Attend training courses as may be arranged by the Company.

Qualifications and Experience:
Experience of company secretarial/legal work and previous involvement with corporate administration and M&A activities, ideally within a FTSE listed company environment.

Well organised with excellent attention to detail and the ability to create and maintain good working relationships with people all levels within or outside the Company.

Focused and adaptable with excellent communication skills, both verbal and written.

Keen to pursue a Company Secretariat career, including working towards obtaining a professional governance qualification.

Be able to work well under pressure, prioritise effectively and meet deadlines.

Be professional and approachable with a “can-do” attitude to interact successfully with Directors/senior management/colleagues/external suppliers.

Be self-motivated, as well as a strong team player, with a keen sense of ownership and desire for continuous improvement.

Good understanding of Blueprint, Diligent, PRNewswire, Microsoft Office packages (particularly Word and Excel).

Have integrity and high ethical standards, acting with discretion at all times.
